In order to prepare the requested antibody (hereinafter “sample”), Biocarta and you agree to the following.

1) You will provide us with all information and reagents necessary to prepare the sample, including, but not limited to, the antigen, the sequence of the antigen or a cDNA capable of expressing the antigen, preferably within an appropriate expression vehicle.

2) Upon preparation, Biocarta will send you up to 2 mls of the sample.

3) You will have a thirty (30) day exclusivity period in which to perform initial experiments with the sample.

4) Promptly upon the end of the exclusivity period, you will provide Biocarta with data from your initial experiments showing, at a minimum, specificity of the sample for the target antigen.

5) Promptly upon receipt and review of such data, Biocarta will send you at least 1ml of additional sample for your non-commercial, academic research use.

Biocarta will be the sole owner of the sample, including any intellectual property rights it shall choose to obtain for the same. You will retain any rights you may have in the information and reagents sent to prepare the sample, and Biocarta agrees to use the information and reagents only for that purpose. Biocarta shall have the right to use the data you provide on the sample for commercial purposes and, subject to your agreement, shall attribute the same to you in any publication or advertisement relating to the same.
